These Terms of Service (the “Terms”) govern (a) your use of the website at sarhaditransport.net (the “Site”) and (b) the supply of services and equipment by Sarhadi Transport LLC(“Sarhadi Transport”, “we”, “our” or “us”), a limited-liability company incorporated in the Emirate of Dubai, United Arab Emirates. By accessing the Site or engaging us, you (“you” or the “Client”) accept these Terms.
1. Definitions
- Services: the heavy transportation, excavation, earthwork, rock and sand shifting, aggregate supply, rubbish & mud removal, water-tanker, mobile-crane, diesel-supply and related services we provide.
- Equipment: any vehicle, plant or machinery we mobilise to a site to perform the Services.
- Site (capitalised) refers to the website; when used in lower case, refers to the Client’s project location.
- Quotation: the priced offer issued to the Client following a Request for Quote (“RFQ”).
2. Use of the Site
The Site is provided for the Client’s general information and to facilitate requests for quotation. You agree not to:
- use the Site in any way that infringes UAE law or third-party rights;
- attempt to disrupt, probe, scan, overload or compromise the Site’s security;
- extract data by automated means or scrape content for commercial purposes;
- submit false, misleading or unauthorised information through the Request-a-Quote form.
We may suspend or block access to the Site without notice if we reasonably believe these restrictions have been breached.
3. Quotations and contract formation
All Quotations issued through the Site or by email/WhatsApp are non-binding indications based on the information supplied by the Client. A binding contract is formed only when (a) we issue a written confirmation of order, work order, or service agreement, and (b) the Client returns their acceptance in writing (including by email). Unless expressly stated, Quotations remain valid for 14 calendar days from issue.
4. Service standards
We perform the Services with reasonable skill and care and in compliance with applicable UAE laws and regulations, including the requirements of the Dubai Roads and Transport Authority (RTA), Dubai Municipality, the Federal Authority for Land & Maritime Transport, and applicable Health, Safety & Environment (HSE) standards. The Client shall obtain any permits, approvals and access arrangements specific to the Client’s site that are not expressly allocated to us in the Quotation.
5. Client obligations
- Provide safe, lawful and timely access to the site for our Equipment and personnel.
- Ensure the ground conditions and access routes at the site are suitable for the agreed Equipment.
- Comply with all directions of our supervisors and operators in matters of safety.
- Promptly notify us of any hazard, obstruction, suspension or delay affecting the Services.
- Pay our invoices in accordance with clause 7 below.
6. Variations, delays and standby
Any variation to the agreed scope must be confirmed in writing. Where the Services are delayed or suspended for reasons not attributable to us — including site closure, weather conditions making operation unsafe, the absence of permits, or the failure of the Client to provide access — we shall be entitled to charge standby and demobilisation fees at our published rates.
7. Pricing, taxes and payment
- All prices are stated in UAE Dirhams (AED) and are exclusive of UAE Value Added Tax (VAT) at the prevailing rate.
- Unless agreed otherwise in writing, invoices are payable within 30 days of the invoice date, by bank transfer to our designated UAE account.
- Late payment shall attract interest at 9% per annum (or such other rate prescribed by the Commercial Transactions Law of the UAE), accruing daily until settlement.
- We reserve the right to require advance payment, milestone payment or security for large or first-time engagements.
- The Client shall not withhold payment by reason of any set-off, counterclaim or deduction unless agreed in writing.
8. Title, risk and damage
Risk in materials supplied by us passes to the Client on delivery to the site. Our Equipment remains at all times our property. The Client shall be liable for any loss of, or damage to, our Equipment caused by the Client, its personnel, sub-contractors or site conditions, except to the extent caused by our negligence or that of our personnel.
9. Health, Safety & Environment
We operate under a documented HSE management system. The Client undertakes to maintain a safe working environment, share applicable site rules in advance, and cooperate with our operators in implementing safe systems of work. We reserve the right to withdraw personnel and Equipment from a site if, in our reasonable opinion, conditions are unsafe.
10. Insurance
We maintain motor third-party liability, workmen’s compensation and general liability cover as required under UAE law. Copies of certificates are available on request. The Client is responsible for arranging insurance for its own property at the site and for any project all-risks cover applicable to the works.
11. Limitation of liability
To the maximum extent permitted by UAE law, our total aggregate liability arising out of or in connection with the Services (whether in contract, tort, statute or otherwise) shall not exceed the total fees paid by the Client for the specific Services giving rise to the claim during the twelve (12) months preceding the event. We shall not be liable for any indirect, consequential or special losses, loss of profit, loss of contract, loss of production or loss of goodwill.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability which cannot lawfully be limited or excluded under UAE law.
12. Force majeure
Neither party shall be liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, severe weather, sandstorms, flooding, fire, explosions, epidemics, pandemics, war, civil unrest, sabotage, government action, port or customs closures, fuel shortages, or unscheduled road closures imposed by the RTA, Dubai Police or other competent authority.
13. Confidentiality
Each party shall keep confidential all information of a confidential nature received from the other in connection with the Services, and shall use such information solely for the purposes of performing or receiving the Services.
14. Intellectual property
All content on the Site — including text, graphics, logos, images, video, the trade name “Sarhadi Transport” and the slogan “Moving Earth. Building Tomorrow.” — is owned by or licensed to Sarhadi Transport LLC and is protected under the intellectual property laws of the UAE. You may not reproduce, distribute or publicly display this content without our prior written consent.
15. Termination
Either party may terminate an engagement for material breach by the other that is not remedied within fourteen (14) days of written notice. We may suspend Services immediately for non-payment of undisputed invoices. On termination, the Client shall pay for all Services performed and committed costs incurred up to the date of termination.
16. Governing law and jurisdiction
These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by the federal laws of the United Arab Emirates as applied in the Emirate of Dubai. The parties submit to the exclusive jurisdiction of the Courts of Dubai, save that we reserve the right to bring proceedings against the Client in any other court of competent jurisdiction to recover sums due.
17. Notices
Notices to Sarhadi Transport shall be addressed to [email protected] with a copy by courier to the registered office. Notices to the Client shall be addressed to the contact details given in the Quotation or work order.
18. Severability and entire agreement
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force. These Terms, together with the Quotation and any signed service agreement, constitute the entire agreement between the parties and supersede all prior representations.
19. Changes to these Terms
We may update these Terms from time to time. The version posted on the Site at the date of a new engagement shall apply to that engagement.
